The audit ensures unbiased reporting, which can be utilized by investors, government agencies, the public, or the company itself.

Features of External Audit

  1. Ensures the accuracy and correctness of a company’s accounting records.
  2. Evaluates whether annual accounts provide a true and fair view and comply with legal requirements.
  3. Must be conducted by a practising Chartered Accountant (CA).
  4. Performed by an independent external auditor who operates outside the organization.
  5. Focuses on financial accounts and associated risks; auditors are recommended by the board and appointed by the members.
  6. The primary responsibility of external auditors is to conduct the annual audit and provide an unbiased opinion on the company’s financial position.
  7. Includes an examination of internal controls to assess financial risk management and ensure compliance with the company’s strategic plans.
  8. External auditors report their findings on financial statements to the company’s members.

Due Dates for Private Limited Company Audit

  1. Statutory Audit
  • Must be completed before the Annual General Meeting (AGM).
  • The statutory auditor must submit the audit report to the board before the AGM.
  • The audit report should be attached to the company’s financial statements and filed with the Registrar of Companies (ROC).

Key Deadlines:

  • Form AOC-4 (Financial Statement) must be filed with the ROC within 30 days of the AGM.
  • Form MGT-7 (Annual Return) must be filed within 60 days of the AGM.
  • The AGM must be held on or before 30th September every year.
  1. Internal Audit
  • No specific due date for conducting the internal audit.
  • The internal auditor must submit a report to the board before the AGM.
  • The report should be filed along with Form AOC-4.
  1. Cost Audit
  • The cost audit report (CRA-3) must be submitted to the board by 30th September every year.
  • The board must review and submit the cost audit report (CRA-4) to the Central Government within 30 days of receiving it.
