Eligibility: Ensure that the proposed director meets the eligibility criteria set forth in the Companies Act 2013. These criteria include being an individual of legal age, having the necessary qualifications, and not being disqualified under any provisions of the Act.

Obtain Director Identification Number (DIN): The proposed director must apply for a DIN from the Ministry of Corporate Affairs (MCA). This can be done by filing Form DIR-3 on the MCA website or through other prescribed modes. If the individual already has a DIN, this step can be skipped.

Board Meeting: Convene a board meeting to discuss and approve the appointment of the director. Serve proper notice to all the directors of the company regarding the meeting and provide them with relevant documents, including the proposed director’s consent to act as a director.

Director’s Consent: Obtain the written consent of the proposed director to act as a director in the company. The director must provide a declaration stating that he/she is not disqualified from being appointed as a director under the Companies Act 2013.
