What is Annual Compliance For a One person Company?

All registered companies must have a registered office address in India from the commencement of business or within thirty days of incorporation, whichever comes first. However, under the current incorporation process, a proposed company must provide the address of its registered office at the time of incorporation.

The provisions governing the shift of a registered office from one state to another are outlined in Section 13(4) of the Companies Act, 2013, further detailed in Rule 30 of the Companies (Incorporation) Rules, 2014. This article presents a step-by-step guide to simplify the process for readers.

From the 30th day of incorporation, every company must have a registered office capable of receiving and acknowledging all official communications and notices. This requirement is crucial, as a company cannot commence business without establishing a registered office and duly filing its verification.

As per Section 12(2) of the Companies Act, 2013, a company must submit verification of its registered office to the Registrar of Companies (ROC) within thirty days of incorporation, in the prescribed manner. The rules related to this verification are outlined in Rule 25 of the Companies (Incorporation) Rules, 2014.

Modes of Change in Registered Office

Process for Change in Registered Office Within the Same City

To change the registered office within the same city, village, or town, a company must:

  1. Hold a Board Meeting and pass a resolution approving the change.
  2. File Form INC-22 with the ROC within 15 days of passing the resolution.
  3. Attach Supporting Documents, including:
    • NOC from the owner (if rented/leased).
    • Rent/Lease Agreement (if applicable).
    • Recent Utility Bill (not older than two months) as address proof.

Compliance for Change of Registered Office Outside the City but Under the Same ROC

For shifting the registered office outside the local limits of a city or town while remaining under the same ROC jurisdiction, a company must:

  1. Conduct a Board Meeting and pass a resolution to convene an Extraordinary General Meeting (EGM).
  2. Pass a Special Resolution in the EGM approving the change of registered office.
  3. File Forms INC-22 and MGT-14 with the ROC within 30 days of passing the Special Resolution.
  4. Attach the Required Documents, including:
    • Copy of the Special Resolution.
    • NOC from the owner (if rented/leased).
    • Rent/Lease Agreement (if applicable).
    • Recent Utility Bill (not older than two months) as address proof.

Process for Change in Registered Office Outside the City and Under a Different ROC

When shifting a company’s registered office outside the local limits of a city or town and from the jurisdiction of one ROC to another within the same state, the following steps must be followed:

  1. Board Meeting & EGM
    • Conduct a Board Meeting to pass a resolution for calling an Extraordinary General Meeting (EGM).
    • Pass a Special Resolution in the EGM approving the office relocation.
  2. Filing with ROC & Regional Director
    • File Form MGT-14 with the ROC within 30 days of passing the Special Resolution.
    • File Form INC-23 with the Regional Director for approval of the office shift between ROC jurisdictions.
  3. Public Notice & Creditor Notification (One Month Before Filing INC-23)
    • Publish a notice of the office change in one English and one regional-language newspaper in the district of the current registered office.
    • Serve an individual notice to depositors, debenture holders, and creditors, informing them of their right to object within 21 days from the publication date.
  4. Approval Process
    • If no objections are received, the Regional Director will issue confirmation within 30 days of receiving the application.
    • The company must file the confirmation with the ROC in Form INC-22 within 60 days of receipt.
  5. Required Documents for INC-23
    • Board Resolution approving the office shift.
    • Special Resolution confirming the change.
    • Declaration by two directors or key managerial personnel stating no payment defaults and creditors’ consent obtained.
    • Acknowledgment copy of intimation sent to the Chief Secretary of the State, confirming that employees’ interests remain unaffected.

Process for Change in Registered Office from One State to Another

When shifting a company’s registered office from one state to another, the following compliance requirements must be met:

  1. Board Meeting & EGM
    • Hold a Board Meeting to pass a resolution for convening an Extraordinary General Meeting (EGM) and amending the Memorandum of Association (MOA).
    • In the EGM, pass a Special Resolution to approve the office shift and alter the MOA accordingly.
  2. Filing with ROC & Regional Director
    • File Form MGT-14 with the ROC within 30 days of passing the Special Resolution.
    • File Form INC-23 with the Regional Director to obtain Central Government approval for the office shift and MOA alteration.
  3. Public Notice & Creditor Notification (One Month Before Filing INC-23)
    • Publish a notice of the office change in one English and one regional-language newspaper in the district where the current registered office is located.
    • Serve individual notices to depositors, debenture holders, and creditors, informing them of their right to object within 21 days from the publication date.
  4. Approval Process
    • If no objections are received, the Central Government will process the application within 60 days.
    • Once approved, the company must file the approval with the ROC in Form INC-22 within 60 days of the approval date.
    • The approval must also be filed in Form INC-28 with the ROC of both states (old and new registered offices).
  5. Required Documents for INC-23
    • Copy of the MOA with proposed alterations.
    • Minutes of the EGM, approving the MOA amendment.
    • Board Resolution or Vakalatnama/Power of Attorney, as applicable.
    • List of debenture holders and creditors, detailing amounts due.
    • Declaration by at least two directors and the Company Secretary, confirming the accuracy of the creditors’ list and outstanding liabilities.
    • Declaration ensuring no employees will be retrenched due to the office relocation.
