Latest Update on Online Private Limited Registration

The Ministry of Corporate Affairs (MCA) has officially launched the upgraded MCA21 Version 3 (V3) portal, which became fully operational on 14 July 2025. This new system enhances the ease of doing business by introducing a more user-friendly interface, better data integration, and advanced compliance tracking.

  • System Migration: A total of 38 critical e-forms, including those for annual returns and financial statements, have been migrated from the old V2 system to the new V3 portal.

  • Important Deadlines: The old MCA21 (V2) system was discontinued on 18 June 2025, with migration downtime scheduled from 9–13 July 2025.

  • Key Impact: All new company registrations and post-incorporation filings must now be completed using the MCA21 V3 portal and its updated e-forms.

Further, amendments to the Companies (Accounts) Rules, 2014, effective from 14 July 2025, introduce expanded disclosure and digital reporting requirements. Forms such as AOC-4 and MGT-7 (used for annual filings) have been updated and must now be filed exclusively through the V3 portal.

Step-by-Step Timeline for Online Private Limited Registration

Step 1: Obtain Digital Signature Certificate (DSC)
Timeline: 1–2 working days
All proposed directors must obtain a Digital Signature Certificate (DSC) to digitally sign incorporation documents. Requires PAN, Aadhaar, photograph, and email/phone verification.

Step 2: Apply for Director Identification Number (DIN)
Timeline: 1 working day
Each director must have a Director Identification Number (DIN), which can be applied separately or along with the SPICe+ incorporation form.

Step 3: Name Reservation through SPICe+ Part A
Timeline: 2–3 working days
Submit up to two proposed names for approval through SPICe+ Part A on the MCA portal. Ensure the name is unique and compliant with MCA naming guidelines.

Step 4: Draft Incorporation Documents
Timeline: 1–2 working days
Prepare essential documents including the Memorandum of Association (MOA), Articles of Association (AOA), and supporting declarations or NOC (if applicable).

Step 5: File Incorporation Form (SPICe+ Part B)
Timeline: 2–3 working days
Upload SPICe+ Part B, AGILE-PRO-S, INC-9, and related forms containing company, director, and tax registration details on the MCA portal.

Step 6: Verification and Approval by MCA
