Latest Update on Online Registration Of Pvt Ltd Company

The Ministry of Corporate Affairs (MCA) has officially launched the upgraded MCA21 Version 3 (V3) portal, which became fully operational on 14 July 2025. This new platform enhances the ease of doing business by offering a more user-friendly interface, improved data integration, and advanced compliance monitoring features.

System Migration: A total of 38 essential e-forms, including those for annual returns and financial statements, have been migrated from the previous V2 system to the new V3 portal.

Important Deadlines: The old MCA21 (V2) system was discontinued on 18 June 2025. Migration activities took place from 9 to 13 July 2025, during which the system was temporarily unavailable.

Key Impact: All new company registrations and post-incorporation filings must now be completed using the MCA21 V3 portal and its updated e-forms, ensuring smoother and more efficient compliance processes.

Further, amendments to the Companies (Accounts) Rules, 2014, effective from 14 July 2025, introduce expanded disclosure and digital reporting requirements. Forms such as AOC-4 and MGT-7 (used for annual filings) have been updated and must now be filed exclusively through the V3 portal.

Step-by-Step Timeline for Online Registration Of Pvt Ltd Company

Step 5: File Incorporation Application (SPICe+ Part B)
Timeline: 2–3 working days: Upload the SPICe+ Part B form, along with AGILE-PRO-S, INC-9, and other relevant forms containing company details, director information, and tax registration data on the MCA portal.

Step 6: MCA Verification and Approval
Timeline: 2–4 working days: The Registrar of Companies (ROC) reviews the application and supporting documents. Upon approval, the company’s incorporation is officially confirmed.

Step 7: Issuance of Certificate of Incorporation (COI)
Timeline: Immediate after approval: The MCA issues the Digital Certificate of Incorporation, which includes the Company Identification Number (CIN) and confirms the company’s legal registration.

Step 8: Post-Incorporation Compliance
Timeline: Within 30 days of incorporation: Following registration, complete essential tasks such as opening a bank account, issuing share certificates, appointing the first auditor, and filing Form INC-20A (notice of commencement of business).
