Eligibility of OPC Pvt Ltd Registration

  • Only one member is required, and only one member is allowed in a One Person Company (OPC).

  • A nominee must be appointed prior to incorporation to take over in case of the member’s death or incapacity.

  • The nominee’s consent must be obtained in Form INC-3 and submitted during incorporation.

  • The company name should comply with the Companies (Incorporation) Rules, 2014, and must end with “(OPC) Private Limited.”

  • The minimum authorised share capital required is ₹1,00,000.

  • The Digital Signature Certificate (DSC) of the proposed director is mandatory for filing incorporation documents online.

  • Valid proof of the registered office address of the OPC must be provided along with ownership documents and a No Objection Certificate (NOC) from the property owner.

  • Identity Proof of Directors and Shareholders: Valid government-issued ID such as Passport, Driver’s License, or Aadhaar Card (for Indian companies).
  • Address Proof of Directors and Shareholders: Recent utility bills, passport-sized photographs, or recent bank statements showing current address.
  • Proof of Registered Office Address: Lease agreement, NOC from the property owner, or utility bill in the registered office address.

Process for OPC Pvt Ltd Registration

Step 1: Apply for Digital Signature Certificate (DSC)
The first step is to obtain the Digital Signature Certificate (DSC) of the proposed director, which is mandatory for signing electronic documents on the MCA portal. The following documents are required:

  • Address Proof

  • Aadhaar Card

  • PAN Card

  • Passport-size Photograph

  • Email ID

  • Mobile Number


Step 2: Apply for Director Identification Number (DIN)
Once the DSC is secured, the next step is to apply for the Director Identification Number (DIN) through the SPICe+ form. As per the latest MCA provisions, a separate DIR-3 form is only available for existing companies. For new incorporations, the DIN can be applied directly within the SPICe+ form for up to three directors.


Step 3: Name Approval Application
Next, choose a unique and compliant company name in the format —
“ABC (OPC) Private Limited.”

The name approval request is submitted through the SPICe+ Part A form on the MCA portal. Only one preferred name along with its justification can be proposed in a single application. If the name is rejected, a new SPICe+ application can be filed with an alternate name. Once approved by the MCA, the incorporation process can proceed further.


Step 4: Preparation of Required Documents
The following documents must be prepared and submitted to the Registrar of Companies (ROC):

  • Memorandum of Association (MoA): Defines the company’s objectives and business activities.

  • Articles of Association (AoA): Lays down the internal rules and management structure of the company.

  • Nominee Consent (Form INC-3): A nominee must be appointed to take over in case the member becomes incapacitated or passes away. Attach the nominee’s PAN and Aadhaar card.

  • Registered Office Proof: Include ownership proof, a utility bill (not older than 2 months), and a No Objection Certificate (NOC) from the property owner.

  • Director’s Declaration and Consent: File Form INC-9 and Form DIR-2 respectively.

  • Professional Declaration: A practicing professional (CA/CS/CMA) must certify that all incorporation requirements have been complied with.


Step 5: Filing of Forms with MCA
Attach all the prepared documents to the SPICe+ Form, SPICe-MoA, and SPICe-AoA, duly signed using the DSC of the director and the certifying professional. These forms are then uploaded to the MCA portal for verification.
Upon submission, PAN and TAN are automatically generated — eliminating the need for separate applications.


Step 6: Issue of Certificate of Incorporation
Once the Registrar of Companies (ROC) verifies the documents, the Certificate of Incorporation (COI) is issued. This certificate officially establishes the company, after which the One Person Company (OPC) can commence its business operations.
