LLPs follow the LLP Act, 2008, and companies operate under the Companies Act, 2013. These entities are required to file various statutory documents via the MCA portal, such as Form 11 (Annual Return), Form 8 (Statement of Accounts and Solvency), and other event-based filings. Therefore, ROC filing in Odisha is applicable only to LLPs and companies, not to traditional partnership firms.

  • Registered Office Proof: Provide a rent agreement or sale deed for the premises in Tripura. For rented properties, submit a No Objection Certificate (NOC) from the owner along with a recent utility bill (not older than 2 months).

  • Identity Proof of Designated Partners: Submit each partner’s PAN card along with one of the following: Aadhaar Card, Passport, Voter ID, or Driving License.

  • Address Proof of Designated Partners: Provide a valid address proof such as Aadhaar Card, Passport, Voter ID, or Driving License. Alternatively, a recent utility bill or bank statement (within 2 months) is acceptable.

  • Digital Signature Certificate (DSC): All designated partners must obtain a valid DSC for electronic document signing.

  • Director Identification Number (DIN): Each designated partner must have a DIN. If not available, it should be acquired during incorporation.

  • LLP Agreement: Prepare and sign the LLP agreement. File it with the ROC within 30 days of incorporation.

  • Incorporation Documents: Submit the LLP incorporation form (Form 2), along with partner details and consent letters from designated partners.

  • No Objection Certificate (NOC): An NOC from the property owner is mandatory if the registered office is rented.

  • Register on the MCA Portal: Visit https://www.mca.gov.in and create an account by registering with a valid user ID and password.

  • Submit Event-Based Filings: For changes such as addition or removal of partners, file relevant forms like Form 4 in a timely manner.

  • Pay ROC Filing Fees: Complete each filing by paying the applicable Registrar of Companies (ROC) fees online during submission.
