It enjoys greater credibility with donors, government departments, and other stakeholders. Additionally, a distinctive feature of a Section 8 Company is that it can be incorporated without the need to include “Limited” or “Private Limited” in its name

WHAT IS A SECTION 8 COMPANY?

A company registered under Section 8 of the Companies Act with a charitable or social welfare purpose is recognized as a Section 8 Company. These organizations are deemed corporate bodies and operate as non-governmental entities committed to societal upliftment. By working for the public good, they benefit from various government incentives and support. Moreover, as separate legal entities with limited liability, Section 8 Companies enjoy legal protections and credibility, enabling them to effectively pursue their charitable objectives.

Eligibility Criteria for ROC Filing – Section 8 Company In Nagaland

  1. A Section 8 Company can be registered by individuals or groups with goals related to commerce, science, education, art, sports, research, religion, charity, social welfare, or environmental protection, subject to Central Government approval.
  2. The company’s profits or income must be used solely to promote these objectives, with no intention to pay dividends to shareholders.
  3. To incorporate, an application in Form INC-12 (now replaced by a simplified process) along with supporting documents like draft MOA, AOA (Form INC-13), and declarations (Form INC-14) must be filed with the Registrar of Companies.
  4. Declarations on compliance with Section 8, notarized by authorized professionals, and affidavits from subscribers (Form INC-15) are required, along with details of initial directors and projected income/expenses.
  5. The incorporation process has been simplified through amendments in 2019, allowing direct filing via Spice+ forms without the need for Form INC-12.
  6. Upon approval, the company is issued a License No., and name reservation can be done through Spice+ Part A and Part B for registration.

Memorandum of Association & Articles of Association: Outline the company’s charitable objectives, internal regulations, and governance structure.

INC Forms (INC-13, 14, 15): Attach the draft MoA along with declarations from professionals and initial subscribers to validate eligibility under Section 8.

INC-9: Provide an affidavit and declaration affirming compliance by the directors and subscribers.

DIR-2 & DIR-3: Submit the director’s consent form and DIN application, which are mandatory for new directors.

Identity & Address Proofs: Include PAN, Aadhaar, Passport, or other ID proof, along with passport-sized photographs of all directors and members.

Registered Office Proof: Provide utility bills, rent agreement or ownership proof, and a No Objection Certificate (NOC) from the property owner confirming the business address.

Online Process for ROC Filing For Section 8 Company In Nagaland

  1. File Part A of SPICe+ on the MCA portal, propose two names, reapply if rejected, and reserve the name for 20 days.
  2. Obtain a Digital Signature Certificate (DSC) for all directors/subscribers before filing Part B.
  3. Fill and submit SPICe+ Part B with company details, attachments, and regulatory forms.
  4. Attach signed physical copies of MOA, AOA, INC-14 declaration, and other declarations for Section 8 companies.
  5. Upload all forms with DSC signatures online via the MCA portal.
  6. Receive the Certificate of Incorporation and Section 8 License upon approval.
  7. File Form INC-20A to commence business within 180 days of incorporation.
