Minimum Requirements for GST Private Limited Company

1. Valid PAN of the Company: A Permanent Account Number (PAN) issued by the Income Tax Department is compulsory for GST registration, serving as the company’s primary tax identification number.

2. Registered Business Address: Proof of the company’s principal place of business—such as an electricity bill, rent agreement, or property ownership document—must be submitted to confirm the official business location.

3. Digital Signature Certificate (DSC): A valid Digital Signature Certificate is required for the authorized signatory to electronically verify and submit the GST registration application on the official GST portal.

4. Authorized Signatory: Details of at least one authorized signatory, usually a company director, must be provided along with their PAN, Aadhaar, and contact details to ensure proper verification and correspondence.

5. Bank Account Details: The company must have an active current account in its registered name. A canceled cheque or recent bank statement should be provided as proof of the account.

6. Valid Email ID and Mobile Number: An active email ID and mobile number are required for OTP verification, communication, and receiving important updates from the GST department.

7. Business Incorporation Documents: Essential incorporation documents, including the Certificate of Incorporation, Memorandum of Association (MOA), and Articles of Association (AOA), must be furnished to establish the company’s legal existence.

2. Payment of GST: The GST collected from customers must be remitted to the government within prescribed timelines through electronic challans on the GST portal to avoid interest, late fees, or penalties.

3. Maintenance of Records and Invoices: Companies are required to maintain comprehensive records of all invoices, credit/debit notes, purchase registers, and payment receipts for a minimum period of six years to ensure transparency and compliance during audits or inspections.

4. Reconciliation of Input Tax Credit (ITC): Regular reconciliation between the auto-generated GSTR-2B statement and the company’s purchase records is essential to claim accurate input tax credits and prevent mismatches or ineligible claims.

5. E-Invoicing Compliance: Businesses with an annual turnover exceeding ₹5 crore must comply with e-invoicing regulations by generating invoices through the GST Invoice Registration Portal (IRP) for all B2B transactions.

6. Filing Annual Return (GSTR-9): All regular taxpayers are required to file an annual GST return (Form GSTR-9) summarizing their annual sales, purchases, and tax liabilities. Companies with turnover exceeding ₹5 crore must also file a reconciliation statement in Form GSTR-9C.

7. Updating GST Registration Details: Any modification in business particulars such as registered address, directors, or business structure must be updated on the GST portal within 15 days of such change to maintain accurate registration records.

8. Audit and Assessment: Companies exceeding the prescribed turnover limit are subject to GST audits and must provide all relevant records and explanations during departmental scrutiny or assessments.

9. Display of GSTIN: It is mandatory for every GST-registered company to prominently display its GST Identification Number (GSTIN) at the registered place of business and print it on all invoices, signboards, and official documents.

Documents of GST Private Limited Company

1. Certificate of Incorporation: Issued by the Ministry of Corporate Affairs (MCA), this document legally confirms the company’s formation and existence.

2. Memorandum and Articles of Association (MOA & AOA): These documents outline the company’s objectives, structure, and internal governance framework, and are essential for verification during registration.

3. PAN Card of the Company: A valid Permanent Account Number (PAN) issued by the Income Tax Department is mandatory for GST registration and tax identification.

4. Proof of Registered Office Address: Documents such as an electricity bill, water bill, rent agreement, or property ownership proof (not older than two months) are required to verify the business address.

5. No Objection Certificate (NOC): If the business premises are rented or leased, a written NOC from the property owner must be submitted, authorizing use of the address for company operations.

6. Bank Account Details: A copy of a canceled cheque or a recent bank statement displaying the company’s name, account number, and IFSC code must be provided.

7. Identity and Address Proof of Directors: Each director must submit a self-attested copy of their PAN card, Aadhaar card, and a recent passport-size photograph for identity verification.

8. Digital Signature Certificate (DSC): A valid DSC of the authorized signatory is required to digitally sign and submit the GST registration application securely on the portal.

9. Authorization Letter or Board Resolution: An authorization letter or board resolution must be issued by the company, designating a director or officer as the authorized signatory for GST-related matters.

Process for GST Private Limited Company

1. Visit the GST Portal: Go to the official GST portal at www.gst.gov.in and click on the “New Registration” option under the “Taxpayers” tab to begin the process.

2. Fill in Basic Business Details: Enter the company’s legal name (as per PAN), PAN number, email ID, and mobile number. OTPs will be sent for verification of the contact details.

3. Generate Temporary Reference Number (TRN): After OTP verification, a Temporary Reference Number (TRN) will be generated. Use this TRN to access and complete the application form.

4. Submit Business and Promoter Details: Provide company information such as business type, constitution, address, and details of promoters/directors, including their PAN, Aadhaar, and photographs.

5. Upload Required Documents: Upload the mandatory documents, including the Certificate of Incorporation, MOA & AOA, proof of registered address, bank details, and authorization letter.

6. Verify with Digital Signature Certificate (DSC): The application must be digitally signed by the authorized signatory using a valid DSC for authentication.

7. Application Verification by GST Department: The GST officer reviews the application and documents. If any clarification is needed, a notice (GST REG-03) will be issued.

8. GST Registration Certificate Issued: Upon successful verification, the GST Registration Certificate (Form GST REG-06) is issued, containing the company’s unique GST Identification Number (GSTIN).
