Private Limited Company Name Registration

Step 1: Obtain Digital Signature Certificate (DSC): All proposed directors must secure a valid Digital Signature Certificate (DSC) to digitally sign the e-forms and incorporation documents filed on the MCA portal.

Step 2: Obtain Director Identification Number (DIN): Each proposed director must have a unique Director Identification Number (DIN) issued by the Ministry of Corporate Affairs (MCA) before proceeding with company registration.

Step 3: Verify Name Availability: Conduct a thorough name search on the MCA and trademark databases to confirm that the proposed company name is unique, compliant with regulations, and not identical to any existing entity or trademark.

Step 4: Apply for Name Reservation: Submit up to two preferred names for approval using the RUN (Reserve Unique Name) service or directly through SPICe+ Part A on the MCA portal. Ensure the proposed names align with the company’s business objectives.

Step 5: MCA Examination and Approval: The Registrar of Companies (ROC) reviews the proposed names to ensure compliance with the Companies (Incorporation) Rules, 2014. Once approved, the name is reserved for 20 days for new incorporations.

Step 6: File for Incorporation: After the name is approved, file the SPICe+ Part B form along with the Memorandum of Association (MOA), Articles of Association (AOA), and other supporting documents to complete the incorporation process.

Step 7: Obtain Certificate of Incorporation: Upon successful verification, the MCA issues the Certificate of Incorporation, which includes the company’s Corporate Identification Number (CIN), officially recognizing it as a registered legal entity.
