Applying for a Start-up Private Limited Company involves registering your business as a Private Limited Company (Pvt. Ltd.) under the Ministry of Corporate Affairs (MCA) and obtaining Start-up India Recognition from the Government of India. Eligibility of Start UP Private Limited Company

  • It should be incorporated as a Private Limited Company under the Companies Act.

Documents of Start UP Private Limited Company

  • Digital Signature Certificate (DSC): Required for signing electronic registration documents.

  • Director Identification Number (DIN): A unique identification number assigned to each director.

  • Name Approval Application: Submitted through the RUN (Reserve Unique Name) service to reserve the company name.

  • Incorporation Documents:

    • SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus): Used for company incorporation and obtaining PAN/TAN registration.
    • Memorandum of Association (e-MOA): Details the company’s objectives and scope.
    • Articles of Association (e-AOA): Defines the rules for internal management and governance.
  • Proof of Registered Office Address: Such as rent agreement, utility bills, or ownership deed.

  • Identity and Address Proofs of Directors: Including Aadhaar Card, Passport, Voter ID, or Driving License.

  • Photographs of Directors

  • Declaration of Compliance: An affidavit from the directors affirming the accuracy of submitted documents and adherence to regulations.

  • Recognition Certificate from DPIIT (if applicable): To avail of start-up benefits.

  • Additional Supporting Documents: As required by the Registrar of Companies (ROC) or relevant authorities.

Process for Start UP Private Limited Company

  1. Acquire Digital Signatures (DSC): Directors must obtain DSCs to sign electronic documents securely during the registration process.

  2. Apply for Director Identification Numbers (DIN): Directors need to obtain DINs through the authorized application procedure.

  3. Reserve Company Name: Submit a name reservation request via the RUN (Reserve Unique Name) service to select and secure the company’s name.

  4. Prepare Incorporation Documents: Draft the Memorandum of Association (MOA), Articles of Association (AOA), and gather all necessary supporting documents.

  5. File the Incorporation Application: Submit the SPICe+ form along with the MOA, AOA, and other required documents for registration.

  6. Pay Registration Fees: Complete the payment of registration fees and applicable stamp duties.

  7. Obtain Incorporation Approval: Upon successful review, the Registrar of Companies (ROC) issues the Certificate of Incorporation, along with PAN and TAN.

  8. Complete Post-Incorporation Compliance: Register for GST, obtain Shops and Establishment License, and initiate business operations.
